Welcome to The Agency Business. By accessing or using our website, services, or purchasing any consulting sessions, you agree to be bound by the terms and conditions set forth below. Please read them carefully.

1. Services

The Agency Business offers business consulting services for agency owners and operators, including—but not limited to—strategy sessions, positioning workshops, sales training, and advisory support. These services are offered via online booking and payment systems through this website.

2. Booking & Payment

  • All consulting sessions must be paid in full at the time of booking.

  • Payments are processed securely through our third-party payment provider.

  • By submitting payment, you authorize The Agency Business to charge your selected payment method for the total amount due.

3. No Refund Policy

All payments made to The Agency Business are non-refundable.

This includes:

  • Missed or canceled consulting sessions

  • Partial use of packages

  • Any dissatisfaction with subjective outcomes (e.g. advice, strategy direction, etc.)

We recommend reviewing your booking and availability carefully before purchase. If you need to reschedule a session, we may accommodate with reasonable notice, but this is not guaranteed.

4. Client Responsibilities

By working with us, you agree to:

  • Participate in good faith and provide accurate information

  • Follow through on strategic advice at your own discretion

  • Understand that results may vary based on your unique business circumstances

All consulting and strategic advice is provided for informational purposes only. Execution of that advice is the client’s responsibility.

5. Intellectual Property

All content provided through our website and consulting sessions—including templates, frameworks, and strategy tools—is the intellectual property of The Agency Business and may not be copied, resold, or redistributed without written permission.

6. Limitation of Liability

We do not guarantee any specific business results. The Agency Business shall not be liable for any direct, indirect, or incidental losses or damages resulting from the use of our services or website.

7. Termination

We reserve the right to refuse or cancel services if a client is found to be acting abusively, dishonestly, or in a way that interferes with our ability to deliver service effectively.

8. Modifications

We may update these Terms of Service from time to time. Continued use of the site and services after changes implies acceptance of the updated terms.

10. Chargebacks and Dispute Resolution

By purchasing any services from The Agency Business, you agree that all billing-related concerns must be submitted to us at damiano@theagency.business before initiating a chargeback with your bank or payment provider. You agree to provide us with a reasonable opportunity to review and resolve the issue in good faith.

Initiating a chargeback without first contacting us is considered a violation of these Terms of Service and creates significant administrative, legal, and processing burdens for our company. In such cases, you agree to be responsible for a Chargeback Administration Fee of 3,000 USD, which represents a reasonable estimate of the time, costs, and third party fees associated with managing and responding to unauthorized chargebacks.

This fee is non refundable and may be invoiced directly. You are also responsible for any additional costs, penalties, or fees imposed by payment processors or financial institutions related to the dispute.

11. Collections and Credit Reporting

If any amounts owed to The Agency Business remain unpaid after the due date stated on the invoice, you acknowledge and agree that we may, at our discretion, refer the outstanding balance to a licensed third party collection agency for recovery.

You further understand that delinquent accounts may be reported to one or more consumer or business credit reporting agencies, in accordance with applicable laws and regulations. By purchasing our services, you consent to our right to pursue lawful collection activities for any unpaid charges, including the involvement of third party agencies and the reporting of unpaid debts to credit bureaus, where permitted by law.

All costs associated with collection efforts, including reasonable administrative fees, collection agency fees, and legal expenses incurred in the recovery of unpaid amounts, may be added to the balance owed to the extent allowed by applicable law.

12. Confidentiality

Both parties agree to keep confidential any non public business information, strategies, documents, or communications shared during the engagement.
This includes, but is not limited to, pricing, frameworks, internal processes, trade secrets, and client data.
Information that is publicly available or independently obtained is not considered confidential.

13. Governing Law & Jurisdiction

These Terms of Service are governed by the laws of the Province of Ontaria, Canada, without regard to conflict of law principles.
Any disputes arising from these terms shall be resolved exclusively in the courts located in Toronto, Ontario.
By using our services, you consent to the jurisdiction of these courts.

14. Client Conduct & Abuse Policy

The Agency Business maintains a zero tolerance policy for abusive, hostile, or disrespectful behavior toward our team.
We reserve the right to immediately terminate services without refund if such behavior occurs.

15. Use of Recorded Sessions for Content and Training

By participating in any consulting sessions, coaching calls, or meetings with The Agency Business, you acknowledge and agree that these sessions may be recorded for documentation, quality assurance, training, or content development purposes.

You grant The Agency Business a worldwide, perpetual, royalty free, non exclusive license to use, reproduce, edit, adapt, publish, and distribute portions of these recordings in any format for educational content, marketing materials, training programs, or other content intended for public or internal audiences.

The Agency Business will not publicly disclose any sensitive or confidential information and may anonymize or omit identifying details when reasonably appropriate. Your participation in the session constitutes your consent to this use of recordings. You waive any claims to compensation, ownership, or approval rights related to the use of such content, to the extent permitted by applicable law.

16. Payment Authorization and Recurring Billing

By providing a payment method during checkout, you authorize The Agency Business to charge that payment method for all fees associated with the services you purchase. If a service includes recurring billing, you agree that recurring payments will be charged automatically on the schedule stated at the time of purchase. You are responsible for keeping your payment information current. If a payment attempt fails, you authorize us to retry the charge and to contact you to update your billing details.

17. Force Majeure

The Agency Business will not be liable for any delay or failure to perform services due to circumstances beyond our reasonable control. This includes illness, emergencies, power outages, internet failures, natural events, governmental actions, or any event that makes performance impractical. In such cases, services may be rescheduled without penalty, and no refunds will be issued.

18. Electronic Signature and Communication Consent

You acknowledge and agree that all agreements, notices, disclosures, invoices, and communications provided electronically satisfy any legal requirement for written communication. Your acceptance of these Terms of Service, including by purchasing any service from The Agency Business, constitutes your electronic signature and creates a binding agreement between you and The Agency Business. By completing a purchase, you confirm that you have read, understood, and agreed to be legally bound by all terms stated herein.

19. Assignment Restrictions

You may not transfer, assign, or share your purchased services, access rights, or consulting sessions with any other individual or business without the prior written approval of The Agency Business. Any unauthorized transfer is void.

20. Refund Abuse and Consumer Protection Exemption

Because consulting services and digital content are delivered immediately or within a short time frame, you acknowledge that cooling off periods provided under consumer protection legislation may not apply. Refund requests based on change of mind, dissatisfaction with subjective outcomes, or lack of implementation are not permitted.

21. Consultant Availability and Extenuating Circumstances

In rare cases, The Agency Business or its consultants may experience extenuating circumstances that require a scheduled session to be rescheduled or canceled. These circumstances may include illness, emergencies, travel disruptions, or events outside of our reasonable control. If such a situation occurs, the missed session will be made up either during the current week or following week or added to the end of the originally contracted timeframe. No refunds will be issued for schedule adjustments, and you agree that rescheduling under these circumstances is a reasonable and acceptable accommodation.

22. Session Frequency for Monthly Packages

Monthly consulting packages include one call per week, unless a different frequency is explicitly stated in the specific package description or mutually agreed upon at the time of purchase. By enrolling in a monthly package, you acknowledge and agree to the session schedule associated with that package and understand that unused weekly calls do not roll over unless otherwise agreed in writing.
